Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (the "Agreement") govern your use of the NomadBill invoicing and bookkeeping service, including the website at app.nomadbill.co and the NomadBill mobile applications (together, the "Service"). The Service is provided by Nomad Stack, LLC, 390 NE 191st STE 56284, Miami, FL 33179, United States ("NomadBill", "we", "us"). Contact: office@nomadstack.io, +1 239 508 7567.

By creating an account, downloading the app, or using the Service you accept this Agreement. If you do not agree, do not use the Service.

1. License grant and scope

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business purposes. For the iOS application, the license is granted for use on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions (Usage Rules), including Family Sharing where applicable.

You may not: copy, sell, sublicense, rent or redistribute the Service; reverse engineer, decompile or disassemble it except where permitted by law; remove notices; use the Service to send unlawful, deceptive or unsolicited communications; or attempt to gain unauthorized access to our systems or other users' data.

2. Accounts

You must be at least 18 years old and legally able to enter into contracts. You are responsible for the accuracy of your registration data, for safeguarding your credentials, and for all activity in your account, including activity by team members you invite.

3. The Service

NomadBill lets you create and send invoices, quotes and receipts, manage customers, products, custom fields and templates, generate PDF and electronic invoices (e.g. ZUGFeRD, XRechnung, UBL), receive documents into a mailbox, connect payment and banking providers, and export your data.

No tax, legal or accounting advice. NomadBill is software, not a tax advisor, accountant or law firm. You remain solely responsible for the content, numbering, tax treatment, retention and legal compliance of every document you create or send, and for verifying that documents meet the requirements of your jurisdiction.

4. Subscriptions, auto-renewal and trials

4.1 Plans

Paid plans (currently Starter and Professional) are offered as monthly or yearly subscriptions. Prices, included features and the billing period are shown before purchase and in your account.

4.2 Free trial

Where offered, a 7-day free trial requires a valid payment method. Unless you cancel before the trial ends, the subscription starts automatically and the then-current price is charged. Any unused portion of a free trial is forfeited when you purchase a subscription.

4.3 Automatic renewal

Subscriptions renew automatically for the same period at the then-current price unless cancelled at least 24 hours before the end of the current period. Renewal is charged within 24 hours before the period ends.

4.4 Cancellation and management

Purchases made through the web are managed in Settings → Subscription and processed by Stripe. Purchases made through the Apple App Store are billed to your Apple Account and must be managed and cancelled in your Apple Account settings (Settings → your name → Subscriptions); we cannot cancel or refund Apple purchases on your behalf. Deleting the app does not cancel a subscription.

4.5 Refunds

Web purchases are subject to our refund policy. For App Store purchases, refunds are handled solely by Apple under Apple's policies.

4.6 Taxes

Prices may exclude applicable taxes, which are added where required by law.

5. Your content and data

You retain all rights to the data you upload or generate ("Your Content"). You grant us a license to host, process, transmit and display Your Content solely to operate and support the Service. You warrant that you have the rights to Your Content and that it does not infringe third-party rights or applicable law. You can export your data at any time; on account deletion we delete or anonymise your data as described in the Privacy Policy.

6. Third-party services

The Service integrates optional third-party providers, including Stripe (payments), Plaid (bank data), Nylas (email), Resend (transactional email), Supabase (hosting and database), Crisp (support chat) and exchange-rate and AI providers. Your use of those integrations is also subject to their terms. We are not responsible for third-party services or for content or availability of external websites.

7. Acceptable use and suspension

We may suspend or terminate access without notice if you breach this Agreement, create security or legal risk, or fail to pay. We may also modify or discontinue features; where a change materially reduces a paid feature, you may cancel and receive a pro-rata refund for the unused period of web purchases.

8. Warranty disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you. In the event of any failure of the iOS application to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price of the application, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law, including for intent or gross negligence, injury to life, body or health.

10. Indemnity

You will indemnify and hold us harmless from third-party claims arising from Your Content or your use of the Service in breach of this Agreement or applicable law.

11. Apple-specific terms (iOS application)

This Agreement is concluded between you and NomadBill only, not with Apple Inc. ("Apple"). Apple is not responsible for the application or its content. Apple has no obligation to furnish maintenance or support for the application. Apple is not responsible for addressing any claims by you or a third party relating to the application, including product liability, legal or regulatory non-compliance, or consumer protection claims. In the event of a third-party claim that the application or your use of it infringes intellectual property rights, NomadBill — not Apple — is solely responsible for the investigation, defense, settlement and discharge of that claim. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties. You must comply with applicable third-party terms (for example, your carrier's data plan terms). Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.

12. Changes to this Agreement

We may update this Agreement. Material changes will be announced by email or in the app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance; otherwise you may cancel.

13. Term and termination

You may stop using the Service and delete your account at any time. This Agreement remains in force while you use the Service. Sections on content ownership, disclaimers, liability, indemnity and governing law survive termination.

14. Governing law

This Agreement is governed by the laws of the State of Florida, United States, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection rights of your country of residence remain unaffected.
